De Brauw Beijing in brief

De Brauw Beijing in brief
As the only full-service Netherlands law firm with an office in China, we are experienced in bridging differences between Chinese and European business and legal cultures. Experienced PRC qualified lawyers work in both our Beijing and Amsterdam offices, and we maintain close working relationships with leading Chinese law firms. Our Beijing office also serves as a hub for all our activities in the rest of Asia.

Expertise
Netherlands law, European law, and all aspects of international law and practice in the context of the PRC legal environment.

Clients
We assist our European clients with their investments in China, and we advise Chinese clients on their investments in Europe, including all tax-related implications. Our team also assists clients from the rest of Asia with their Dutch and European law related questions.

Focus
De Brauw Beijing focuses mainly on Foreign Direct Investment (FDI), either from China, or into China.

Corporate, mergers and acquisitions
We specialise in mergers and acquisitions including controlled auctions, public to privates, takeovers, divestments and joint ventures. We have significant expertise in the relevant PRC regulatory framework, including a good understanding of all necessary approvals for both PRC in- and outbound investments, and merger clearance. Our team also advises Chinese corporations that have Netherlands operating companies, finance companies or holding companies.

Capital markets
Although the Chinese economy is opening up, Chinese capital markets are still heavily regulated and difficult to access for foreign investors. Our team has experience with Chinese QFII licences, and closely monitors the expected opening of the Shanghai Stock Exchange for foreign issuers and the development of the Shanghai QFLP pilot program. This is particularly relevant for institutional investors who want to invest in RMB funds.

Tax
Many of our Chinese clients have set up Dutch holding and finance companies in order to tax-efficiently structure their investments outside China. They are served by our team of experienced international tax lawyers, both in Amsterdam and Beijing, including native Mandarin speakers.
