Paul Cronheim specialises in corporate law including mergers and acquisitions. Paul has handled a wide range of Dutch and cross-border public takeovers, private acquisitions and disposals, auctions and joint ventures, often working together with other international law firms.
His practice includes acting as regular outside counsel to Dutch public and private companies and foreign corporates, and advising on corporate finance matters, corporate governance and shareholders issues. He has particular expertise in private equity transactions.
Recent work includes advising:
- Corio on the EUR 1.3 billion acquisition of operational shopping centers and development projects in Germany, Spain and Portugal from Multi Corporation
- Océ on the recommended public offer by Canon, transaction value EUR 1.5 billion
- KPE, the KKR fund listed in Amsterdam, on the USD 4.6 billion sale of its business to KKR
- Danone on its EUR 12.3 billion recommended public offer for Numico
- Grolsch on the EUR 816 million recommended public offer by SABMiller
- Corio on the EUR 650 million divestment of its Dutch office and industrial division to WEI
- Sanofi-Aventis on its uninvited and subsequently recommended EUR 1.8 billion cash offer for Zentiva.
From 1990 to 1992 Paul was resident partner in De Brauw's New York office. He is admitted to the New York Bar and is a non-active member of the California Bar. Paul is also a member of the American Bar Association and the International Bar Association, and serves on the Legal Committee of the American Chamber of Commerce in the Netherlands. He is included in the list of arbitrators of the Netherlands Arbitration Institute and the International Panel of Arbitrators of the American Arbitration Association, and has been involved as counsel or arbitrator in numerous ICC, AAA and NAI arbitrations.
In 2001 he joined the teaching faculty of the Amsterdam Institute of Finance. Paul is a regular speaker at international conferences, and has served as general secretary and chairman of the Legal Committee and member of the Steering Committee of EALIC, the European Association for Listed Companies, one of the predecessors of EuropeanIssuers. Paul was formerly practice group leader of De Brauw's Amsterdam-based M&A practice.
