Harm-Jan de Kluiver is a noted specialist in corporate law, mergers and acquisitions, corporate litigation and corporate governance. His advisory practice includes primarily listed companies. His litigation practice includes both public and private companies, representing them in civil and administrative courts particularly before the Enterprise Chamber in Amsterdam.
Recent work includes representing an international insurance group in all disputes in relation to a bail-out in the aftermath of the financial crisis and a multinational consumer goods company in a dispute with its preference shareholders and litigation for companies in a friendly public offer against minority shareholders trying to frustrate the merger. In addition he advises the boards of many listed and non-listed companies (including major international operating companies) on all aspects of corporate governance (including corporate board structures).
Legal 500 says that he ‘has an excellent reputation for corporate litigation’, and Chambers that he ‘is admired for his ability to defuse tension and avoid escalation of conflict’.
Harm-Jan is also a Professor of Corporate Law at the University of Amsterdam and a well-known speaker at specialist conferences. He chaired the government commission that advised on a fundamental overhaul of Dutch Company Law and was co-chair of the ‘EU Reflection Group on the Future of EU Company Law’ set up by the European Commission.
