Jaap Winter specialises in corporate law, including corporate governance, and corporate litigation. He advises corporate clients and institutional investors on matters of corporate law and corporate governance. He has advised clients in other EU jurisdictions on matters of EU corporate law.
Recent work includes advising:
· pension fund manager APG on its merger transaction with Cordares
· Telefonica on buying out Portugal Telecom from the Brasicel joint venture
· the boards of various Dutch multinational companies on board structures and practices.

As Chairman of the former EU High Level Group of Company Law Experts, member of the EU Corporate Governance Forum and member of the former Dutch Corporate Governance Committee he plays a prominent role in corporate law and corporate governance developments in Europe and the Netherlands. Jaap is a professor of corporate governance at the Duisenberg school of finance in Amsterdam and professor of international company law at the University of Amsterdam. He has published extensively on matters of company law and corporate governance. He is a board member of the Stichting Comité voor het Concertgebouw, a member of the supervisory board of the Mauritshuis, a member of the Supervisory Board of Randstad Holding NV and a member of the Capital Markets Committee established by the Dutch securities regulator AFM.
The International Corporate Governance Network awarded Jaap Winter its prestigious 2004 International Corporate Governance Award.
