Carlyle Group acquires DuPont's performance coatings business for USD 4.9 bln
De Brauw Blackstone Westbroek has advised Carlyle Group on the acquisition of DuPont's performance coatings business.
Both seller and purchaser have a tax structure with many Dutch entities. De Brauw has set up part of the seller's acquisition structure, did due diligence, took care of share transfers, was involved in the drafting of the credit agreement, the various documentation related to the notes offering, the security documents and various related documentation.
De Brauw acted as local counsel to Carlyle Investment Management LLC.
