Masterclass - Recent developments in economic sanctions and export controls

As a result of the unprecedented expansion of EU sanctions against Russia, EU sanctions law is evolving like never before. In addition, both the US and the EU have made export controls their weapon of choice in their strategic competition with China. However, diverging interests result in an increase of unilateral export controls measures, threatening the level playing field. At the same time, China itself is more actively deploying its sanctions and export controls toolkit as well. All of this is increasingly affecting international business, requiring companies to quickly respond and adapt in order to remain both viable and compliant.

Masterclass - Competition and consumer law - Regulating digital markets

2023 was a year of unprecedented change in the area of digital regulation, with Gatekeepers being designated under the Digital Markets Act, the adoption of the Data Act, many national and European investigations into digital ecosystems and even the threat of the break-up of Google in the AdTech case. Equally, various authorities are increasing the role of consumer law as a way of tackling unfair competition, in order to give consumers more control and transparency in the digital environment, whether over their data, purchasing choices or redress mechanisms. Significant developments will continue into 2024 as Big Tech firms deliver their compliance plans to the European Commission by 6 March, and at national level, authorities gear up to monitor digital markets more fanatically (the ACM is recruiting up to 50 new personnel to focus on digital.)

Masterclass - ESG climate and sustainability update

Now that the Council of the EU has agreed on a scaled-back version of the Corporate Sustainability Due Diligence Directive (CSDDD), nothing seems to stand in the way of adoption by the end of April, with larger companies in the EU likely having to comply from 2027 onwards. This slimmer version of the CSDDD and the lack of progress on national legislation may suggest that sustainability due diligence is something for the future and only for larger companies to take notice of, but the opposite may be true. For example, many companies preparing for their CSRD reporting already perform extensive due diligence in their value chain. Addressing actual and potential adverse impacts identified in this process may fall squarely within the existing duty of care of directors. Soft law – such as the UN Guiding Principles on Business and Human Rights, the OECD Guidelines for Multinational Enterprises and the Dutch Corporate Governance Code – further shapes this duty of care for companies and boards. CSRD disclosures will also likely provide stakeholders with grounds for activism and litigation. In this Masterclass, Davine Roessingh and Casper Nagtegaal discuss what is expected from companies in the context of human rights and environmental due diligence today, and how that translates into best practices from a governance, risk management, compliance and reporting perspective.
