After the SPAC IPO boom last year, the hunt on target companies has started. In this Master Class Gaby Smeenk, Reinier Kleipool, Wiebe Dijkstra, Casper Nagtegaal will discuss how SPACs are structured and what to consider when being approached by a SPAC or when you are yourself exploring a business combination with a SPAC. They will discuss both a combination with a Dutch SPAC as well as obtaining a US listing though a combination with a US SPAC.

Gaby is a partner in De Brauw's Corporate practice and has a specific focus on cross-border equity capital markets and M&A transactions. Gaby's transactional practice includes advising on IPOs, private and public M&A and joint ventures. In addition to her transactional practice, Gaby advises listed companies on compliance with securities laws and disclosure obligations. Gaby set up De Brauw's Shanghai office in 2014 and headed the office until 2017. Accordingly, Gaby's experience includes acting as lead counsel in transactions with a strong Asian component. She continues working on Asia-related transactions from the Amsterdam office. Gaby previously also worked in De Brauw's New York office.
Reinier's primary focus is corporate law, including governance, advisory and M&A. A substantial part of his practice is cross-border, reflecting his extensive experience in international transactions involving multiple jurisdictions in a variety of business sectors. Reinier has extensive experience across the field of corporate law. He regularly advises Dutch listed entities on corporate governance matters, anti-takeover responses (including relating to shareholder activism) and various legal and practical aspects of their listing.
Wiebe specialises in international and Dutch tax law, focusing on corporate transactions, investment funds and tax controversy. Since joining De Brauw, Wiebe has advised numerous multinationals and funds on complex cross-border M&A transactions, investment structures and tax disputes. Wiebe is actively involved in the tax expert group of the Dutch association of asset managers (DUFAS), the committee on legislative proposals of the Dutch association of tax advisors (NOB) and frequently lectures on international tax law, including at IBA conferences and at the universities of Amsterdam and Groningen. He is recognised by Chambers and Legal 500 with Chambers describing him as “very accessible, sharp, responsive and to the point” and Legal 500 referring to him as a “top-notch tax professional”.
Casper represents clients in complex business transactions and advises them on general corporate and governance matters. Casper has significant experience in assisting companies listed in the Netherlands or elsewhere with the corporate law aspects of domestic or cross-border transactions, spin-offs and securities offerings.
