ABN AMRO divests parts of Fortis Commercial Finance

De Brauw has advised ABN AMRO on selling the major part of the former Fortis factoring company Fortis Commercial Finance (FCF) to BNP Paribas Fortis. FCF has offices in 11 countries and conducts business in even more countries.

FCF used to be part of Fortis Bank Belgium (now part of BNP Paribas). The Dutch part of FCF will remain with ABN AMRO and will be integrated into ABN AMRO's factoring business, ABN AMRO Commercial Finance.

De Brauw has acted as lead counsel to ABN AMRO and provided advice on deal strategy, conducted a legal vendor due diligence in multiple jurisdictions, prepared all transaction documentation and advised on merger clearance and other regulatory requirements. De Brauw's Brussels office is closely involved in the merger clearance process. The transaction includes numerous interesting aspects, including the operational carve-out of the FCF business from the ABN AMRO group.
