The transaction also includes the sale of Verizon’s 23.1% minority stake in Vodafone Omnitel to Vodafone for USD3.5 billion.
The deal will become the third largest announced deal in the world after Vodafone’s USD 203 billion takeover of Germany’s Mannesmann in 1999 and AOL’s USD181 billion acquisition of Time Warner the following year.
De Brauw acts as Dutch corporate and tax counsel to Vodafone, Slaughter and May and Simpson Thatcher act as British and US counsel to Vodafone.
Lead partner Paul Sleurink: ‘Together with ‘best friend’ Slaughter and May we have worked hard on a very successful transaction for our client Vodafone, which stands out because of not only the deal value but also the deal’s complexity.’
