US listing of Italian luxury group Ermenegildo Zegna with USD 3.2 bn SPAC deal

De Brauw is advising Ermenegildo Zegna, a leading global luxury group in menswear, with presence in 80 countries through 296 directly operated stores, on its business combination with Investindustrial Acquistion Corp. (NYSE; IIAC), a special purpose acquisition company sponsored by investment subsidiaries of Investindustrial VII L.P. ("IIAC"). Following the combination, the combined company will be listed on the New York Stock Exchange with an anticipated initial enterprise value of USD 3.2 billion. The transaction is expected to close by the fourth quarter of 2021, subject to customary approvals and conditions and to IIAC's shareholders' vote.De Brauw acted as Dutch counsel alongside Sullivan & Cromwell.

(Infestos) on its irrevocable commitment to tender all its shares in Neways Electronics International N.V. (Neways) under the recommended public takeover offer as announced by Infestos and Neways. NN to acquire majority stake in Dutch insurance broker Heinenoord

NN Group has agreed to buy a 70% stake in insurance broker and service provider Heinenoord for EUR 176 million. NN will also refinance Heinenoord's outstanding debt of EUR 129 million. Under an agreed option structure, NN could acquire the remaining 30% of shares within four years after the transaction's closing.

IPRO Tech, LLC to acquire ZyLAB

IPRO Tech, a Parker Gale Capital portfolio company, has agreed to acquire ZyLAB, a peer e-discovery company. The Amsterdam-based ZyLAB is known for its data science technology including its ZyLAB ONE e-discovery platform and its ZyLAB Legal Hold products. Featuring a strong in-house analytics team with data science professor and longtime ZyLAB employee Johannes (Jan) Scholtes, the company has also in recent years increasingly moved into the SaaS and cloud offerings space. Financial details of the transaction have not been made public. ZyLAB will continue as a standalone brand within the EU and will be available as part of Ipro's suite of products as “ZyLAB, an Ipro company" in the US.
Matter 6 July 2021 acquires data start-up TraceDock

Global conversational commerce platform – through one of its subsidiaries – completed the strategic acquisition of TraceDock. This data start-up, with operations in Europe, specialises in privacy-friendly, first-party data collection. TraceDock's solutions will be integrated into's Mobile Marketing Cloud, enabling's customers to gain more insights from first-party website data. The integration will further improve and optimise's customer experience and is expected to boost's international growth strategy. TraceDock's founders remain involved in the business to promote this growth strategy.

NN Group to acquire MetLife's business activities in Poland and Greece

NN and MetLife announced on 5 July 2021 that they had agreed on NN's takeover of MetLife's Polish and Greek insurance businesses for a total purchase price of EUR 584 million. The acquisition provides NN with the unique opportunity to create a strong platform for future growth in these attractive CEE markets, in which it is already active.

Mollie raises EUR 665m in Blackstone Growth–led Series C funding roundDe Brauw has advised Mollie, one of the fastest-growing payment service providers in Europe, on its EUR 665 million Series C funding round. The round was led by funds managed by Blackstone’s growth equity investing business, and included EQT Growth, General Atlantic, HMI Capital and Alkeon Capital. TCV, who led the Series B investment in September 2020, also participated in the funding round. The funding will fuel Mollie’s international expansion, team scaling and continued investment in product and engineering, helping the firm to realize its vision of becoming the most popular payment service provider in the world. The round values Mollie at EUR 5.4 billion, making Mollie one of the top five most valuable privately-held fintechs in Europe, and one of the top 20 in the world.The transaction is announced and completed in June 2021.

Primavera Capital acquires Mead Johnson Business from Reckitt Benckiser Group

De Brauw assists Primavera Capital Group ("Primavera") in the acquisition of the infant formula and child nutrition business of Mead Johnson Nutrition Company ("Mead Johnson") in China from Reckitt Benckiser Group plc ("Reckitt") for an implied enterprise value of USD 2.2 billion. Reckitt will retain an 8% shareholding. Primavera and Reckitt have signed a definitive agreement to acquire Mead Johnson's Greater China infant formula and child nutrition business, including a manufacturing plant in Nijmegen, the Netherlands. Mead Johnson is a global leading infant formula and nutrition company. This acquisition is another milestone for Primavera in the consumer industry. Going forward, Primavera will fully support Mead Johnson's growth, through innovation, operational improvement, channel optimization, and digital transformation, to further enhance its positioning and growth prospects in China's infant nutrition market.Completion is, amongst other things, subject to works council consultation in the Netherlands. Subject to completing the works council consultation and the satisfaction of customary closing conditions, completion is expected in the second half of 2021.
