De Brauw advises on its merger with Just Eat

De Brauw is pleased to be advising, the leading online food delivery marketplace in continental Europe, on its announced merger with Just Eat plc, a leading global hybrid marketplace for online food delivery.

The merger will be effected by means of a court-sanctioned scheme of arrangement under Part 26 of the UK Companies Act 2006. Once the scheme is effected,’s shares are intended to be listed on the Premium Segment of the London Stock Exchange’s Main Market for listed securities and included in FTSE 100 Index and the FTSE All-Share Index. The merger will create one of the largest online food delivery companies in the world, with scale, strategic vision, industry leading capabilities, leading positions in attractive markets and a diversified geographic presence in 23 countries.
