De Brauw assisted FrieslandCampina in the divestment of its cream liqueur business, called Creamy Creation.
This business is engaged in the development, production and worldwide sale of cream liqueurs. FrieslandCampina’s rationale for this divestment is the aim to focus more on nutritional and functional solutions with its ingredients.
Transaction advice involved advice on a business purchase agreement (combining an asset and share deal), tax, IP and employment law. Until the closing De Brauw will continue to provide advice on six ancillary agreements, works council procedure, real estate (split of production site), finance and regulatory assistance.
