Uniface ruling: what else is new?

The much discussed ruling of the Enterprise Chambers on the case of Uniface touches upon two key concepts of co-determination: substantial influence and timely involvement of the works council. This article focuses on two aspects: the appointment of advisors and the Signing Protocol, which is in fact the condition precedent to the works council’s advice in the share purchase agreement.
