Technip Energies issues EUR 600 million senior notes

De Brauw advised Technip Energies on the issue of EUR 600,000,000 1.125% senior unsecured notes due 2028. The offering of the Notes was more than three times oversubscribed among a large European investor base. Technip Energies intends to use the net proceeds from the offering of the Notes for general corporate purposes, including the refinancing of a €650,000,000 bridge facility made available to Technip Energies in connection with the spin-off of Technip Energies from TechnipFMC plc, which was completed on 16 February, 2021. The Notes are listed on the regulated market of Euronext Paris.

Ørsted brings in Norges Bank Investment Management as a partner in Borssele 1 & 2

De Brauw's multi-disciplinary energy group, together with Slaughter and May, assisted Danish developer Ørsted in the sale of 50% of its ownership share of the 752 MW Borssele 1 & 2 offshore wind farm to Norges Bank Investment Management (NBIM). De Brauw's team provided Ørsted with extensive support on a wide range of topics. Signing took place on 7 April 2021, closing is expected around summer 2021. The total value of the transaction is approx. EUR 1,375 billion.

COFRA Holding acquires solar energy assets developer and owner Sunrock Investments

De Brauw assisted COFRA Holding in the acquisition of Sunrock Investments. Sunrock develops and manages solar energy projects in the Netherlands and is market leader in the large-scale roof-based solar energy segment, with a strong customer base of logistics and other business property owners. Sunrock fits well in COFRA's portfolio: it is a long-term strategic investment that fits COFRA's mission to be a force for good. The acquisition is also in line with COFRA's own ambitions for the transition to green energy and the reduction of the CO2 content of the portfolio.

Bill on UBO register for trusts and funds for joint account sent to Dutch lower house

A bill introducing a UBO register for trusts and funds for joint account (fondsen voor gemene rekening) was submitted to the lower house of the Dutch parliament on 26 April 2021. The register will be kept by the Chamber of Commerce in the Netherlands.

Consultation launched on new legal entity for social entrepreneurs

In July 2020, the Dutch government announced its plans to introduce the BVm (maatschappelijke BV) in Dutch corporate law – see our previous In Context article. The BVm is a new type of private limited liability company for social entrepreneurs active in addressing societal issues. The new type of legal entity will make it easier to identify companies with a positive impact on society. This will in turn help social enterprises and stakeholders connect and do business with each other.
