Part 1
In this part you will find a memo on the disclosure of inside information for N.V.’s listed on Euronext Amsterdam. Disclosure of inside information may only be delayed if certain specific conditions are met. It is therefore essential to understand the legal framework of inside information, including relevant case law, in order to make a proper assessment of the situation at hand.

As a result of the EU Market Abuse Regulation, applicable as of 3 July 2016, it has become more important to be able to understand when information becomes inside information and under what circumstances it can be justified to delay publication of inside information. An accurate assessment is particularly important as supervisory authorities are increasingly focusing on timely disclosure of inside information. This Toolbox contains a range of tools to clarify the rules and navigate the issues that may arise for you and your company. It also contains sample documents for use in your organisation and addresses selected topics that may be relevant to you, for example for M&amp;A activity.
