Master Class - Large-scale separations and carve-outs in the M&A context

Heather Giannandrea & Yi Duan will present a Master Class on large-scale separations and carve-outs in M&A. This class aims to give participants an overview of the types of issues companies may encounter—including legal and financial, as well as operational topics—in planning and implementing complex carve-outs and separations in preparation for divestment, and how these issues may be resolved in such a way as to ensure a divestment process that is as smooth and efficient as possible.

This Master Class will be held on Thursday, 23 June from 08:30 to 10:00 via Microsoft Teams and Friday, 24 June from 08:30 to 10:30 at our Amsterdam office.

Yi Duan


Yi is part of De Brauw’s Corporate M&A practice. He is experienced in complex M&A transactions, joint ventures and carve-out transactions. Drawing on his diverse practice background, Yi is highly valued for his experience in large cross-border and spin-off transactions. Prior to joining De Brauw, Yi practiced law at both US and Chinese law firms in China. Yi is admitted to practice in California, U.S.A. and holds the Chinese lawyer qualification.
Heather is a counsel at De Brauw’s Corporate practice and is based in Amsterdam. She has a broad-based background in M&A law from North American and European perspectives. Heather has advised on domestic and cross-border mergers and acquisitions, divestments, joint venture arrangements, complex carve-out transactions and private equity investments in a broad range of industries. Her clients include domestic and international corporate clients in a variety of industries, and private equity funds. Heather holds degrees from the University of Toronto and the University of Oxford. She is qualified to practice in New York, and prior to joining De Brauw, she practiced at a major international law firm in New York.
