De Brauw Blackstone Westbroek has assisted NXP in its announced merger with Freescale Semiconductor, Ltd. The merger, with an estimated combined enterprise value of USD 40 billion, will make NXP the industry leader within the auto and industrial semiconductor markets.

Arne Grimme, lead partner: "Since the spin-off from Philips in 2006, NXP has done several transactions in order to achieve their current position. A unique position if you ask me. This merger with Freescale gives NXP every opportunity to grow in a world that NXP calls "the smarter world." I think it is very special that we have been advising NXP for almost 10 years. By working intensively together on matters ranging from an IPO (2010), mergers and acquisitions and arbitrations, we have gotten to know each other well. That makes our collaboration more focused, more efficient and very special. Therefore, assisting NXP in this enormous merger is a fine continuation of our relationship", according to Grimme.

De Brauw advised NXP together with Simpson Thacher Bartlet, as co-lead counsel.
