De Brauw advises QIAGEN N.V. the EUR 10.8 billion recommended public takeover offer by EQT Private Equity, at an offer price of EUR 46.50 per share. The offer represents a premium of 40.3% to the undisturbed share price. The transaction follows a comprehensive strategic review, announced by QIAGEN in January 2026. QIAGEN's Supervisory Board and Managing Board unanimously support the transaction and agreed to recommend the offer to its shareholders.

QIAGEN is a leading global biotechnology company, specializing in sample to insight solutions for molecular diagnostics, academic research, and applied testing. QIAGEN is headquartered in the Netherlands, with a listing on the Frankfurt and New York stock exchanges. The transaction enables QIAGEN to be better positioned to deliver on its full potential in a private setting, while shareholders benefit from an attractive all-cash premium and certain value.

Closing is expected in mid-2027 and is subject to customary conditions, including regulatory approvals, a minimum acceptance threshold of 50% of QIAGEN's outstanding share capital plus one share, as well as shareholder approval for the transaction related resolutions at the QIAGEN EGM. EQT Private Equity has committed financing in place for the transaction.

As part of the business combination agreement, EQT Private Equity has agreed to support QIAGEN's long-term development, including commitments relating to QIAGEN's strategy, business, key brands, operational footprint, R&D activities, employee arrangements, prudent financing and culture of excellence. Following completion of the transaction, QIAGEN will continue to operate under the QIAGEN name and brand. In the context of the transaction, QIAGEN and EQT Private Equity have agreed also agreed on certain post-closing measures that will result in the buyer acquiring full ownership of the business of the Company against payment of the offer price.

De Brauw acted as lead counsel to QIAGEN, working closely together with Linklaters (German counsel) and Davis Polk (US counsel).
