Deutsche Telekom and Tele2 sell T-Mobile Netherlands to a consortium of Apax and Warburg Pincus for an EV of EUR 5.1 billion

De Brauw advised Deutsche Telekom AG on the sale by Deutsche Telekom and Tele2 of T-Mobile Netherlands to an entity jointly controlled by funds advised by Apax Partners LLP and Warburg Pincus LLC for an enterprise value of EUR 5.1 billion.

The transaction marks the completion of Deutsche Telekom’s strategic review of T-Mobile NL which was announced at the May 2021 Capital Markets Day. It follows the EUR 0.7 billion divesture of its Dutch mobile tower business earlier this year where De Brauw also acted as lead advisor.

The Apax / Warburg Pincus consortium has long-standing experience and differentiated strategic value add in the telecommunications sector and will support T-Mobile Netherlands and its management team in the next stage of their growth strategy.

The transaction is subject to customary closing conditions, including regulatory approvals and consultation with employee representatives.
